Dear Sunita Sharma,

The consultants or the service providers are hired on the business need. Based on the business need, a Request for Quotation (RFQ) or the Request for Proposal (EFP) is prepared. Based on the RFQ or RFP, the service provider's quotation or a proposal. The negotiations are done on either of the two. The logical conclusion of the negotiations is either a service agreement or the issue of the Purchase Order (PO).

It appears that you are not clear on the business need itself. To understand the business need, ask the following questions:

a) Why services are being sought?
b) What is planned to be achieved through these services?
c) What are the assumptions upon which the services will be availed of?
d) What is going to form the basis of the services?
e) What will be the performance criteria of services, i.e., what will be the excellent, very good, good and average performance?
f) How the customer satisfaction will be impacted because of the quality of the services by the service provider?

Lastly, being a legal consultant, is the consultant not expected to provide you with the draft of the terms and conditions of his services?

Thanks,

Dinesh Divekar
