First of all indicate whether your MD is on board level, a share holder entitled to share of profit or an employee drawing salary like any other employee. You should go thru' his terms & conditions of appointment. If he is covered under the Payment of Gratuity Act then he will be entitled to gratuity subject to eligibility.
