Hi Everyone,

We have the three manufacturing units of our Company in (Haryana) one premises unit-1 unit-2 and unit-3 and employees are working in all units and at present we have the three separate factory licence. But we have merge the Electricity connections of three units into one, Now our management decided to merge all units into one so that we can take the one factory Licence in future. Please tell me the procedure for merger of units.

If the manufacturing activates are the same, and there is no boundary separating one factory from the other, the question of separate licences would not have arisen. Check whether you had shown boundaries to separate each unit in the diagram submitted to the Impetrate and if there is boundaries, remove them and send proposal for merger.

You need to make a fresh application with details of three units and factory layout drawing. Since all the details are there with the Factory Inspector, they will inspect the factory premises before issue of the factory license. At present your manufacturing three different products. But on unification the factory will be known as per the final product of the factory. To get the complete information contact the Factory Inspector.

Before going in to the details, you have to be clear whether the mfg activity is same or not, if it is not merging will not happen.

As per my knowledge, first you should get amalgamation order from National Company Law Tribunal under sec 232 (Merger and amalgamation) of The Companies Act, 2013

That is true but that is required only when two entities merge and not for two/three units with different factory licences of the same management having single Balance sheet etc merge so that all have one factory licence.
